Lodge Me At, a private limited liability company with registered office at 8^th Floor, 38 Wale Street, Cape Town Centre, South Africa, registered under number 2024/669967/07, and

Lodge Me At East Africa Ltd, a private limited company with registered office at Tom Mboya Street, P.O. Box 70576, Nairobi, Kenya, registered under number PVT-7815EDDR,

Hereinafter « Lodge Me At Group », « we », « us », « our »), is a company specializing in supporting the professional development of students.

Lodge Me At Group handles the search for furnished accommodation and internships (hereinafter referred to as « Services ») on behalf of its customers (hereinafter referred to as « you », « your »).

You and Lodge Me At Group are hereinafter referred to as « Party » or « Parties ».

Introduction

The purpose of the Terms of Sale (« Terms ») is to present the terms and conditions for integrating the Services.

You declare, prior to any payment, that you have read the Terms applicable to all Services, that you have the time and skills required to assess the Services and that you are satisfied that the Service chosen meets your needs.

Any payment for Services offered by Lodge Me At Group implies your unreserved acceptance of these Terms.

Contractual documents

The commercial relationship between the Parties is governed by the following set of contractual documents (hereinafter referred to as the « Contract »), presented in descending order of legal value:

• Order/payment summary or summaries
• Terms of Sale
• Terms of Use

In the event of contradiction between one or more provisions contained in any of the above documents, the provisions contained in the document of higher hierarchical rank shall prevail.

The Contract takes precedence over any statement by Lodge Me At Group on any commercial medium (e.g. website, LinkedIn page, etc.) in the event of a conflict of interpretation.

The Contract may be amended by Lodge Me At Group in each of its constituent documents to take account of developments in the Services.

Acceptance and enforceability

By subscribing to the Services, you declare that you have the necessary power and authority to contract with us.

The Terms are deemed to have been read and accepted without reservation and are therefore enforceable against you as soon as your commercial relationship with Lodge Me At Group comes into effect.

Duration

The commercial relationship begins when we receive your payment for the Services.

The duration of the business relationship is the longest period indicated in the  order/payment summary(ies). The initial duration may be extended if you extend your internship or lease arranged through Lodge Me At Group by using our services.

You expressly agree not to enter into any agreement, arrangement or contract with our partners and the host companies, directly or indirectly, for the purpose of avoiding the payment of our Service fees, including the extension of your internship and/or lease.

Any agreement whose purpose, in whole or in part, is to circumvent, reduce or avoid the payment of agreed fees to the Lodge Me At Group is strictly prohibited.

Obligations

You declare that the information you have provided to Lodge Me At Group during the preliminary interview with Lodge Me At Group and when paying for the Services is accurate and real, and you undertake to inform Lodge Me At Group in writing of any changes concerning you.

You also undertake to apply without reservation the rules and recommendations formulated by Lodge Me At Group in connection with the Services.

You accept that the final decision in the recruitment process is held exclusively by the host companies.

You agree to use the services offered by Lodge Me At Group solely for your personal needs in connection with your accommodation and professional training.

Intellectual property

Lodge Me At Group remains the exclusive owner of the intellectual property rights belonging to us (including logos, domain names, drawings, texts, sounds, models, databases, graphics, etc.), our methods and our know-how.

Billing and payment

The applicable prices and taxes for the subscribed services are indicated in the order/payment summary(ies). The subscribed Services are billed by Lodge Me At Group according to the terms described in the order/payment summary(ies).

The invoice for Services provided by Lodge Me At Group is available upon request and can be sent to you electronically.

You must provide us with your internship agreement as soon as your placement with a host company is confirmed. Payment of your invoice must then be made within five (5) days of our sending your internship agreement. This payment is final and non-refundable after a fourteen (14) calendar day withdrawal period from the date of payment.

Students benefiting from a discounted rate due to a partnership between Lodge Me At and their school cannot combine this rate with other discounts or offers. The partnership rate will take precedence.

In the event of our intervention for the search and booking of accommodation on your behalf, we expressly reserve the right to apply and include a commission of up to a maximum of 20% of the total invoiced Rent to cover our administrative costs associated with this Service (hereinafter referred to as « Commission »). The Commission includes, but is not limited to, bank fees, exchange rates, as well as other incidental charges that may be incurred in the management of rents.

The Rent payment must be made exclusively according to the following terms: either through equal monthly instalments or in full before the date communicated by our partners. No other method of payment will be considered valid unless explicitly agreed and documented between the parties.

In all circumstances, irrespective of the subscribed Service, you benefit from a withdrawal period of fourteen (14) calendar days from the payment date to request a refund. Beyond this period, no refund requests will be admissible or considered.

By accepting an accommodation offered by Lodge Me At Group, you acknowledge and accept that your agreement to this accommodation constitutes a firm and irrevocable commitment. Therefore, you expressly and irrevocably waive any right to request a refund after agreeing to the reservation or rental of this accommodation, except in the event of our failure to fulfil our commitments or breaches of our obligations as described herein.

In the event of partial or total withdrawal from the Service, we reserve the right to charge fees covering the efforts and services already provided on your behalf (hereinafter referred to as « Fees »). The Fees may amount to up to 50% of the total amount of the subscribed Services and will be deducted from the initially paid sums. For subscriptions to Services including accommodation, the Fees will be deducted from the part corresponding to the ‘accommodation’ category of the total amount already paid.

Any refund due under these Terms will be made within seven (7) business days from the refund request date. Business days refer to weekdays excluding Saturdays, Sundays, and legally recognized holidays in the countries where Lodge Me At Group is establised.

By default, the initial refund will be made to the original payment method, unless otherwise expressly agreed upon and

documented in writing between the Parties. Any modification to the refund terms must be formalized by a written agreement signed by the parties concerned.

For the purposes of these Terms, the term “Rent” refers to all fees related to the accommodation, including, but not limited to, the monthly rent, the security deposit, and any other charges associated with occupying the accommodation.

The Commission owed to Lodge Me At Group is calculated based on the total amount of the Rent as defined above.

The refund of the security deposit is subject to the timelines and conditions communicated by the landlord or accommodation provider. Lodge Me At Group cannot be held responsible for the timing or terms of the deposit refund, which are exclusively the responsibility of the landlord.

Rejection of payment and suspension of service

Any rejection of payment may result in the immediate suspension, without notice or compensation, of the Services subscribed, pending the regularization of the situation.

In the absence of regularization, Lodge Me At Group reserves the right to retain indefinitely the suspension of subscribed Services.

Responsibility

Lodge Me At Group is a service provider offering an « as is » service.

Lodge Me At Group may, by mandate, sign internship agreements on behalf of the host company. This process in no way affects the responsibilities set out in the internship agreement. The host company remains solely responsible for complying with all provisions and obligations specified in the agreement.

Lodge Me At Group can only be held liable for direct and foreseeable damage suffered by you.

Consequently, any consequential indirect damages of any kind arising from or in connection with the provision of subscribed Services, including but not limited to, loss of time and consequences of third-party actions, are excluded.

In cases where Lodge Me At Group’s liability is incurred, Lodge Me At Group’s liability is limited to the flat rate of the paid Services.

It is your responsibility to independently research the cost of living in the country where your internship takes place and/or where your accommodation is located, including, in particular, expenses for living, transportation, food, essential services and any other personal costs. Lodge Me At Group cannot be held responsible for fluctuations in the cost of living or any expenses you incur in this regard.

When your Service includes an internship, Lodge Me At Group is not held responsible for the early termination of your internship agreement for personal reasons (e.g. disagreement, dissatisfaction, etc.) and professional reasons (e.g. failure to comply with internal rules, loss of confidence, inappropriate behaviour, etc.). In the event of early termination of your internship agreement due to serious reasons (e.g. harassment, rights violations, etc.), Lodge Me At Group commits to doing everything possible to assist you in finding an alternative or new internship placement as quickly as possible.

If you benefit from accommodation found by Lodge Me At Group, we are not held responsible for the early termination of your lease for personal reasons (e.g. disagreement, etc.). In the event of early termination of your lease due to serious reasons (e.g. harassment, threats, safety hazards, etc.), Lodge Me At Group endeavours to relocate you as quickly as possible.

 

Any serious reason is considered to be beyond our control; therefore, we cannot be held responsible for circumstances related to the termination of an internship agreement or lease.

In certain countries where Lodge Me At Group operates, we may provide you with basic household equipment necessary for daily life. The terms of this provision (duration, return, any fees) will be specified at the time of signing the contract or reservation of the accommodation.

Lodge Me At commits to maintaining regular communication between the student and the company to ensure the smooth progress of the internship.

We want to inform you that Lodge Me At acts as an intermediary in the property rental and/or internship placement process between you and our partners. We facilitate the connection between you and our partners. We are a third-party to the lease and/or internship agreement concluded between you and our partners. As an intermediary, Lodge Me At Group holds no direct contractual power over the terms and conditions of the lease and/or internship agreement. Consequently, the commitments, obligations, rights, and responsibilities arising from the lease and/or internship agreement signed between you and our partners solely rest upon both of you as contracting parties. We cannot be held responsible for incidents, disputes, or failures occurring within the framework of the lease and/or internship agreement.

Lodge Me At Group hereby clarifies that we hold no responsibility for any visa rejections or related issues that you may encounter. It is your responsibility to ensure that you possess the necessary visa and travel documents required for participation in our Services. Any cost incurred due to visa rejections or related issues shall be borne solely by you. Lodge Me At Group shall not be held liable for any financial or legal repercussions arising from such circumstances.

Outsourcing

You authorize Lodge Me At Group to use any service provider of its choice.

Lodge Me At Group undertakes to guarantee compliance with the confidentiality obligations set forth herein by the chosen service provider.

Lodge Me At Group is fully responsible for the service provider’s performance, which in the event of difficulties may be taken over by Lodge Me At Group directly or by another service provider.

Termination for default

You may not terminate the Contract early.

In the event of a serious breach by one of the Parties which is not remedied within thirty (30) days of written and detailed notification of the breach, the aggrieved Party may terminate the Contract ipso jure, without prejudice to any damages to which it may be entitled hereunder.

In the event of criminal and/or unlawful activity on your part, Lodge Me At Group reserves the right to terminate the contract without notice, compensation or reimbursement.

Data protection

Lodge Me At Group undertakes to comply with the applicable rules on data protection and, in particular, Regulation (EU) 2016/679 of April 27, 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data – known as the GDPR.

Lodge Me At Group qualifies as a data controller within the meaning of Article 24 of the GDPR. Lodge Me At Group only processes your data strictly necessary for the performance of the Contract. Force majeure

In the first instance, cases of force majeure suspend the performance of these Terms.

In the event of force majeure lasting more than two (2) months, these Terms will be terminated automatically, unless otherwise agreed between the Parties.

Events beyond the control of the Parties, which could not be reasonably foreseen when the Contract was concluded and whose effects cannot be avoided by appropriate measures, which prevent the performance of its obligation, such as those usually retained by the jurisprudence of the French Courts and Tribunals, are considered to be cases of force majeure, as well as war, riot, fire, internal or external strikes, lock-out, occupation of Lodge Me At Group premises or your university, bad weather, earthquake, flood, water damage, legal or governmental restrictions, legal or regulatory changes to forms of marketing, accidents of any kind, epidemics, pandemics, illness affecting more than ten percent (10%) of Lodge Me At Group’s staff within a period of two (2) consecutive months, the continuous absence of energy supply, partial or total shutdown of the Internet network and, more generally, of private or public telecommunications networks, road blockages and supply impossibilities and any other event beyond the express control of the Parties preventing the normal execution of the Terms.

Confidentiality

All information, documents, data and elements communicated by you within the framework of the Contract are presumed to be confidential, whether such information, documents or data have been delivered in writing, orally or by any other means and whatever the form or medium.

Evidence agreement

The Parties agree that any document or correspondence in electronic form exchanged between the Parties, as well as the logs, registers and computer connection logs of the information systems of Lodge Me At Group, its service providers or subcontractors, will be validly considered as proof of the communications between the Parties.

Sincerity

The Parties hereby declare that these commitments are sincere. In this respect, they declare that they have no knowledge of any element which, if communicated, would have modified the consent of the other Party.

Transfer of contract

The present Terms may not be transferred in whole or in part, whether in exchange for payment or free of charge, by you without the prior written consent of Lodge Me At Group.

Lodge Me At Group may assign all or part of the rights and obligations arising from the present Contract or substitute any third party of its choice.

Nullity

If one or more of the stipulations herein are held to be invalid or declared as such pursuant to a final and binding decision of a competent court, the Parties agree that they shall not render the entire deed null and void.

Applicable law

The present contract is governed by French law.

This applies to both substantive and formal rules, notwithstanding the place of performance of substantial or accessory obligations.

Jurisdiction

In case of a dispute, the Paris Commercial Court shall have express jurisdiction,

notwithstanding any plurality of defendants or the introduction of third parties, even for emergency or conservatory proceedings, in summary proceedings or by petition.

Amendments

Lodge Me At Group reserves the right to modify the Terms at any time. You will always be notified of any such modification by any means, in particular by e-mail, without any further formalities. The modified Terms will be automatically enforceable against you after notification.
